General Terms and Conditions of Sale
1. Scope of application
The following terms and conditions apply to all orders placed via our online store by both consumers and entrepreneurs/businesses.
- A consumer is any natural person who enters into a legal transaction for purposes that are predominantly outside their commercial, business, craft, or professional activity.
- An entrepreneur/business is a natural or legal person or a partnership with legal capacity who, when concluding a legal transaction, acts in the exercise of their commercial or independent professional activity.
For entrepreneurs: we hereby object to the validity of any conflicting or supplementary general terms and conditions used by the entrepreneur; they shall only become part of the contract if we have expressly agreed to them in writing.

2. Conclusion of contract and language
The sales contract is concluded with Batter Fly s.r.l.
The presentation of products in the online store does not represent a legally binding offer, but a non-binding online catalog. By placing an order, the Customer declares to have read and fully accepted these conditions. By clicking the order button, the Customer submits a binding offer for the goods contained in the shopping cart.
Acceptance by Batter Fly occurs within two days by:
- sending an order confirmation e-mail; or
- having the goods delivered; or
- the execution of the payment transaction by our service provider.
The languages available for the conclusion of the contract are Italian and English. We store the contract text and send you the order data and our general terms and conditions in text form.

3. Prices, Shipping and Delivery

4. Payment Methods

Main options include:
- On account (Invoice): Available only for business customers based in Italy (subject to approval).
- PayPal: The transaction is carried out immediately after placing the order.
- Bank Transfer in Advance: Goods will be shipped only after receipt of payment.
- Credit Card: Your card will be charged immediately after placing the order.

5. Transport and Damages
The ownership of the goods passes to the customer at the moment they are handed over to the carrier for shipment.
- For consumers: If goods are delivered with obvious transport damage, please lodge a complaint with the carrier and contact us immediately. Failure to do so does not affect your legal warranty rights but helps us assert our own claims against the carrier.
- For entrepreneurs/businesses: The risk of accidental loss and deterioration passes to the customer as soon as we have delivered the item to the forwarding agent, the carrier, or the person designated to carry out the shipment. Goods travel at the customer's risk even when delivered carriage-paid.

6. Retention of Title
Batter Fly retains ownership of all delivered goods until final and full payment. For entrepreneurs, this retention remains valid until all claims arising from the ongoing business relationship have been settled.

7. Right to Cancel (for Consumers)
The consumer has the right to cancel this contract within 14 days without giving any reason, starting from the day they acquire physical possession of the goods.

Exclusions: Please note that the right to cancel is excluded for the supply of software licenses, calibration services, or non-catalog items specifically ordered at the customer's request.
Effects of cancellation: We will reimburse all payments received, including standard delivery costs, within 14 days of notification. We may withhold reimbursement until we have received the goods back or evidence of return. The direct cost of returning the goods will be borne by the customer.

8. Product Returns and Limitations (Applicable to all customers)
No return of items will be allowed without the prior written consent of Batter Fly. To be eligible for a refund, items must be returned unused, in their original condition, and delivered within 15 days from the invoice date.
Categorical Exclusions: Returns are never allowed for:
- Software licenses.
- Calibration services.
- Non-catalog items specifically ordered at the customer's request.
These exclusions apply to all types of customers (both private individuals and businesses). The costs and risks of the return shipment are the responsibility of the customer.

9. Warranty and Liability
Statutory liability for defects applies. Any right of the Customer to compensation or indemnity for damages resulting from the non-acceptance, even partial, of an order is excluded.

11. Applicable Law and Jurisdiction
The contract is governed by Italian Law.
- For consumers, the territorial competence is that of the court of reference of their municipality of residence.
- For all other cases (entrepreneurs/businesses), the exclusive competence is the Court of Bologna.
